This Creator Marketplace Addendum ("Addendum") is a supplemental document to the Sonaverse Terms of Service and applies to all creators who publish or seek to publish a sona on the Sonaverse Creator Marketplace. By publishing a sona, you agree to be bound by this Addendum in addition to the Terms of Service. Where this Addendum conflicts with the Terms of Service, this Addendum takes precedence for Creator Marketplace matters. Capitalised terms not defined here have the meanings given in the Terms of Service.

1. Introduction and Relationship to Terms of Service
The Sonaverse Creator Marketplace ("Marketplace") is a platform operated by Sonaverse Ltd that enables eligible creators to publish their sonas and earn revenue from subscriber access. This Addendum sets out the specific terms governing your participation in the Marketplace as a creator.
The Sonaverse marketplace facilitator model
This is the key structural concept governing the entire commercial relationship. Please read this section carefully.
Sonaverse operates as a marketplace facilitator, not as a seller. This distinction has the following consequences:
- Each sona published on the Marketplace is your product. You, as the creator, are the seller. Subscribers enter into a subscription relationship with you, not with Sonaverse.
- Sonaverse provides the platform infrastructure, payment processing facilitation via Stripe Connect, and the technical environment within which your sona operates. Sonaverse does not sell access to your sona; it facilitates that sale on your behalf.
- As the seller, you bear primary legal responsibility for your sona and its content. Sonaverse's role is to provide the marketplace environment and to enforce the rules that govern it.
- Sonaverse does not warrant the performance, accuracy, or quality of any individual sona to subscribers. You are responsible for ensuring that your sona meets the standards described in this Addendum and the Terms of Service.
- VAT, income tax, and any other taxes on your subscription revenues are your sole responsibility. Sonaverse does not collect or remit taxes on your behalf.
2. Definitions
"Beta Phase" — The first stage of a sona's public availability, during which access is limited to a maximum of 10 invited individuals nominated by the creator, for the purpose of testing and gathering feedback before full publication.
"Creator" — A verified individual who has published or is seeking to publish a sona on the Marketplace. A creator must be both the sona creator and the sona subject — that is, the sona must represent the creator themselves.
"Minimum Content Standards" — The minimum quality and completeness thresholds a sona must meet before it may be listed as a paid subscription on the Marketplace, as set out in Section 6 of this Addendum.
"Net Subscription Revenue" — Gross subscription revenue collected by Stripe from a subscriber in respect of a sona, less Stripe's payment processing fees and any applicable Stripe Connect fees, but before deduction of Sonaverse's platform fee.
"Platform Fee" — Sonaverse's fee for providing the Marketplace, equal to 30% of Net Subscription Revenue.
"Creator Revenue" — The amount payable to you: 70% of Net Subscription Revenue, after deduction of the Platform Fee.
"Publication" — The second and final stage of a sona's public availability, at which the sona becomes accessible to all users of the Sonaverse platform, including paying subscribers.
"Stripe Connect Account" — Your Stripe Connect account, through which Stripe routes Creator Revenue to you directly. You are the merchant of record for subscriptions to your sona.
"Subscriber" — A user who has paid to access a sona at the Acquaintance tier through the Marketplace.
3. Eligibility to Participate
To participate in the Marketplace as a creator, you must meet and maintain all of the following eligibility requirements at all times.
(a) Personal eligibility
- You must be at least 18 years of age;
- You must be a natural person. Companies, organisations, and other entities may not be creators on the Marketplace. A sona must represent a real, living individual;
- You must be both the sona creator and the sona subject: only individuals creating a sona of themselves may publish on the Marketplace;
- You must not be located in, or a national of, a jurisdiction subject to applicable sanctions or trade embargoes as described in the Terms of Service.
(b) One sona per creator
Each creator may publish one sona on the Marketplace at any given time. We may revise this limit in future by updating this Addendum with appropriate notice.
(c) Non-transferability
Your creator account, your sona, and your subscriber base are strictly personal to you and non-transferable. You may not sell, assign, transfer, license, or otherwise dispose of your creator account or your sona to any other person or entity. Any purported transfer is void and constitutes a material breach of this Addendum.
(d) Permitted geographies for payout
Creator Revenue payouts via Stripe Connect are available to creators resident in the following jurisdictions:

If you are resident outside an eligible jurisdiction, you may still create and publish a free sona but you may not charge subscribers until your jurisdiction is added to the eligible list.
(e) Identity verification
Before your sona may enter the Beta Phase or be published, you must successfully complete Sonaverse's identity verification process. This requires:
- Submission of a valid government-issued photo identity document;
- Completion of a liveness check confirming that the document belongs to you; and
- Confirmation that the identity you are verifying matches the individual represented by the sona.
Sonaverse reserves the right to require re-verification at any time, and to suspend a sona pending successful re-verification.
(f) Stripe Connect account
To receive Creator Revenue, you must connect a valid Stripe Connect account to your Sonaverse creator account before your sona is published as a paid subscription. You are responsible for maintaining your Stripe Connect account in good standing and for complying with Stripe's terms of service.
4. The Two-Stage Go-Live Process
A sona's journey to full Marketplace publication follows two distinct stages. Both stages are subject to automatic approval checks by our platform systems. Sonaverse reserves the right to intervene manually at any stage if a sona is flagged by our systems or reported by a user.
Stage 1 — Beta Phase
Once your sona has accumulated sufficient content to meet our platform readiness threshold (assessed automatically by our systems), and once your identity verification is complete, you may activate the Beta Phase.
During the Beta Phase:
- Your sona is accessible only to individuals you have personally invited, up to a maximum of 10 invited users;
- Your sona is not listed publicly on the Marketplace and is not searchable by other users;
- Your sona may not be set as a paid subscription during the Beta Phase — beta access is always free;
- Invited users may interact with your sona and provide feedback to assist you in refining it before public launch;
- The Beta Phase has no minimum or maximum duration — you may proceed to Publication when you are ready.
Stage 2 — Publication
When you are satisfied with your sona's performance following the Beta Phase, you may apply to publish it on the Marketplace. Publication makes your sona discoverable by all Sonaverse users and, if you have set a subscription price, enables paid subscriptions.
Before Publication is approved, our systems automatically verify that:
- Your identity verification is complete and current;
- Your sona meets the Minimum Content Standards set out in Section 6;
- Your Stripe Connect account is connected (if you intend to charge subscribers);
- Your sona does not contain any Content flagged as violating the Terms of Service or our Prohibited Use Policy.
Automatic approval does not constitute Sonaverse's endorsement of your sona or its content. Sonaverse retains the right to remove or suspend any published sona at any time in accordance with this Addendum and the Terms of Service.
5. Creator Obligations and Content Responsibility
As the creator and seller of your sona, you bear primary responsibility for it. The following obligations apply at all times from the moment you activate the Beta Phase.
(a) You are responsible for your sona's content
You are solely responsible for all Personal Materials, Knowledge Materials, and any other Content you upload to build and maintain your sona. Your obligations include ensuring that:
- All Content you upload complies with the Terms of Service, this Addendum, and the Prohibited Use Policy;
- You hold all necessary intellectual property rights in Knowledge Materials you upload, or have obtained all necessary permissions from rights-holders;
- Knowledge Materials incorporated in a paid sona are licensed for commercial use;
- Your sona's responses do not constitute regulated professional advice (medical, legal, financial, or otherwise) and are not presented as such;
- Your sona's responses are consistent with the values, views, and personality of the real individual it represents, to the best of your knowledge and ability;
- Your sona does not generate Content that violates any applicable law or the Prohibited Use Policy.
(b) Accurate representation
Your Marketplace listing must accurately describe your sona, including who it represents, the nature of the access subscribers will receive, and the Access Tier at which subscriptions are granted. You must not misrepresent the identity of the sona subject, the depth of content available, or the nature of the subscriber experience.
(c) Keeping your sona current
You are responsible for maintaining the quality and relevance of your sona over time. You should not materially mislead subscribers by allowing the sona's knowledge base to become so outdated as to misrepresent your current knowledge or views on material subjects.
(d) Notifications
You must notify Sonaverse promptly at support@sonaverse.ai of any of the following events:
- Any legal proceedings, regulatory investigation, or formal complaint relating to your sona or its content;
- Any third-party claim that Content in your sona infringes their intellectual property rights;
- Any material change in your circumstances that affects the accuracy of your identity verification or your eligibility to participate in the Marketplace;
- Your death, or the appointment of a representative to manage your affairs, as required by Section 5(j) of the Terms of Service.
(e) No exclusivity obligation on creator
Sonaverse does not require exclusivity. You are free to create and maintain AI persona products on other platforms simultaneously. However, your obligations under this Addendum and the Terms of Service continue to apply to your Sonaverse sona regardless of any other platforms on which you operate.
6. Minimum Content Standards
A sona may not be published as a paid subscription on the Marketplace unless it meets all of the following Minimum Content Standards.

Sonaverse may, from time to time, update the Minimum Content Standards by publishing a revised version of this Addendum with at least 30 days' notice. Sonas already published will not be retroactively required to meet new standards, but any sona that falls below the current standards following a re-review may be suspended pending remediation.
7. Pricing and Subscriptions
(a) Setting your subscription price
You set the monthly subscription price for your sona via the Pricing Manager in your dashboard. You may set your sona as free to access or as a paid subscription. If you set a paid subscription:
- The minimum monthly price is £1.00 (GBP) or $1.00 (USD), depending on the currency you select;
- You may change your subscription price at any time. Existing subscribers will be notified and their subscription will continue at the old price until their next renewal, after which the new price applies;
- You may switch a paid sona to free at any time. Existing paid subscribers will retain their subscription status until the end of their current billing period, after which access will continue as free.
(b) No free trials
Free trial periods are not available at launch. Subscriptions begin immediately on payment. Sonaverse may introduce free trial functionality in a future update to this Addendum.
(c) Subscriber access tier
All paying subscribers receive access at the Acquaintance tier. You may choose to grant individual subscribers access at a higher tier (Colleague or Family) at your sole discretion, outside the subscription mechanism.
(d) Subscription currency
You may elect to price your sona in GBP or USD. Stripe handles currency conversion for subscribers paying in other currencies. Creator Revenue is paid in your elected currency via your Stripe Connect account.
8. Revenue Sharing and Payouts
(a) The revenue split
You are the merchant of record for subscriptions to your sona. Subscribers pay you directly via Stripe Connect. From each subscription payment collected:

The Platform Fee is deducted automatically by the Stripe Connect application fee mechanism before Creator Revenue is transferred to your Stripe Connect account. You will see a clear breakdown of each transaction in your Stripe Connect dashboard.
(b) Payout schedule and minimum threshold
Creator Revenue is transferred to your Stripe Connect account on a monthly basis, subject to a minimum payout threshold of £10.00 (GBP) or $10.00 (USD). If your Creator Revenue in any calendar month does not meet the minimum threshold, it will accumulate and be paid in the next month in which the cumulative balance meets or exceeds the threshold.
The timing of the actual transfer from your Stripe Connect account to your bank account is governed by Stripe's standard payout schedule. Sonaverse has no control over Stripe's payout timing once funds are in your Stripe Connect account.
(c) Earnings statements
Sonaverse does not issue earnings statements to creators. Full transaction records are available in your Stripe Connect dashboard, which constitutes the authoritative record of your earnings. You are responsible for maintaining your own financial records for tax and accounting purposes.
(d) Tax obligations
You are solely responsible for all taxes arising from your Creator Revenue, including income tax, self-employment tax, VAT, GST, sales tax, or any other tax applicable in your jurisdiction. Sonaverse does not deduct, withhold, or remit any tax on your behalf, and does not provide tax advice. You should seek independent tax advice if you are unsure of your obligations.
VAT note: If you are VAT-registered (or required to be), you are responsible for accounting for VAT on your subscription revenues in accordance with the rules applicable in your jurisdiction and those of your subscribers. The treatment of digital services for VAT purposes varies significantly across jurisdictions. Please seek advice specific to your circumstances.
9. Chargebacks, Disputes, and Refunds
(a) Chargebacks
A chargeback occurs when a subscriber disputes a payment with their card issuer and the card issuer reverses the transaction. Because you are the merchant of record, chargeback risk rests with you. The following applies:
- If a subscriber successfully disputes a charge relating to your sona, Stripe will debit the disputed amount from your Stripe Connect account in accordance with Stripe's standard chargeback process;
- Where a chargeback results in a negative balance in your Stripe Connect account, Stripe may recover that balance from your future payouts;
- If your Stripe Connect account has insufficient funds to cover a chargeback, Sonaverse reserves the right to offset the shortfall against future Creator Revenue owed to you;
- Sonaverse will not absorb chargeback costs on your behalf.
You are responsible for responding to chargeback disputes via Stripe's dispute management interface within the timeframes Stripe specifies. Failure to respond in time will generally result in the chargeback being decided in the subscriber's favour.
(b) Subscriber refund policy
As the merchant of record, your refund obligations to subscribers are governed by applicable consumer protection law in the subscriber's jurisdiction. The following default position applies on the Sonaverse platform:
- Mid-period deactivation. If you deactivate or delete your sona during a subscriber's active subscription period, subscribers retain access until the end of their current billing period, after which access lapses automatically. No pro-rata refund is issued as a default. This does not override any statutory refund rights a subscriber may have under applicable consumer protection law.
- Consumer statutory rights. Subscribers who are consumers may have statutory rights to refunds in certain circumstances. You are responsible for honouring those rights. If a statutory refund is required, the refunded amount will be debited from your Stripe Connect account or offset against future Creator Revenue.
- EEA and UK consumers. Subscribers in the EEA and UK have a 14-day right of withdrawal from subscription agreements. This right is managed by Sonaverse at the platform level as part of the checkout process. The cost of any withdrawal refund is borne by you as the merchant of record and will be offset against your Creator Revenue.
(c) Disputes with subscribers
Sonaverse is not a party to disputes between you and your subscribers. Where a subscriber raises a complaint about your sona with Sonaverse, we may refer the complaint to you or take action under the Terms of Service or this Addendum if the complaint discloses a breach. We are not obliged to mediate, arbitrate, or resolve subscriber disputes on your behalf.
10. Sonaverse's Rights as Marketplace Operator
(a) Featuring and promotion
Sonaverse may, at its sole discretion and without additional payment to you, feature, promote, spotlight, or otherwise highlight your sona on the Sonaverse platform, in marketing materials, on social media, or in any other context. This includes inclusion in "Featured sonas" sections, editorial selections, category highlights, and promotional campaigns.
Any promotion by Sonaverse will make clear that your sona is an AI-generated representation and will not misrepresent your views or statements. If you do not wish your sona to be featured in a particular context, please contact us at support@sonaverse.ai and we will take your preference into account on a reasonable efforts basis.
(b) Platform modifications
Sonaverse may modify the Marketplace, including its features, appearance, discovery algorithms, and subscription mechanics, at any time. We will give you reasonable advance notice of changes that materially affect your revenue or the subscriber experience.
(c) Platform fee changes
Sonaverse may change the Platform Fee percentage with at least 60 days' written notice. If you do not wish to continue on the new fee terms, you may deactivate your sona before the new fee takes effect. Continued publication after the effective date constitutes acceptance of the new fee.
(d) Content review and takedown
Sonaverse may review any sona at any time and may remove, suspend, or restrict any sona that we reasonably believe violates the Terms of Service, this Addendum, or the Prohibited Use Policy, without prior notice where the circumstances require immediate action.
11. Suspension, Termination, and Removal
(a) Termination by Sonaverse
Sonaverse may remove your sona from the Marketplace and terminate your participation immediately and without prior notice in any of the following circumstances:
- Serious breach of the Terms of Service or Prohibited Use Policy, including (without limitation) upload of prohibited content, attempted platform manipulation, fraud, or repeat IP infringement;
- Failure to maintain identity verification in current and valid status;
- Failure to maintain a valid Stripe Connect account for a paid sona;
- Receipt of a valid court order, regulatory direction, or law enforcement request requiring removal;
- Death of the sona subject, pending review under Section 5(j) of the Terms of Service.
For breaches that do not fall within the above categories, Sonaverse will give you 30 days' written notice before removing your sona, during which time you have the opportunity to remedy the breach.
(b) Right of appeal
If your sona is removed from the Marketplace, you may appeal the decision by emailing legal@sonaverse.ai within 14 days of receiving notice of removal. Sonaverse will review your appeal and respond within 10 business days. Sonaverse's decision on appeal is final.
(c) Effect of removal on subscribers
On removal of your sona from the Marketplace:
- Active subscriptions will be cancelled immediately by Stripe;
- Subscribers who have paid for the current billing period will retain access until the end of that period, after which access will lapse;
- Future subscription renewals will not be processed;
- Creator Revenue accrued up to the date of removal will be paid out on the next scheduled payout date, subject to any offsets for chargebacks, disputed amounts, or refunds owed to subscribers.
(d) Voluntary deactivation by creator
You may deactivate your sona at any time through your dashboard. Voluntary deactivation does not affect your right to reactivate your sona in the future, provided you continue to meet all eligibility requirements at the time of reactivation.
12. Intellectual Property
- You retain all intellectual property rights you hold in your Personal Materials and Knowledge Materials, subject to any third-party rights therein and the licence granted to Sonaverse under Section 5(i) of the Terms of Service;
- The sona model configured to represent you, and the underlying AI infrastructure, remain the intellectual property of Sonaverse, as described in Section 7(c) of the Terms of Service;
- Output generated by your sona may be used by subscribers as permitted by the Terms of Service. You grant subscribers a limited, personal, non-commercial licence to interact with your sona and to use Output for personal purposes, subject to the restrictions in the Terms of Service;
- If your sona is removed from the Marketplace, we will delete stored Knowledge Materials and Personal Materials in accordance with the data retention provisions of the Privacy Policy.
13. Creator Liability and Content Liability Boundaries
(a) Creator liability to subscribers
As the merchant of record and the person responsible for your sona's content, you bear liability to your subscribers for:
- The accuracy and completeness of your sona's Marketplace listing;
- Ensuring subscribers receive the access they have paid for;
- Any harm caused to a subscriber by Content in your sona that violates applicable law or the Terms of Service;
- Honouring subscriber statutory rights, including refund rights.
(b) Sonaverse's liability boundaries
As a marketplace facilitator, Sonaverse's liability is limited to its role as the platform operator. Sonaverse is not liable for:
- The accuracy, quality, or completeness of any individual sona or its content;
- The performance of your sona or the subscriber experience it delivers;
- Any harm caused to a subscriber or third party by Output generated by your sona;
- Any third-party intellectual property claims arising from Content you have uploaded to your sona;
- Any tax liability arising from your Creator Revenue;
- Any failure by Stripe to process or deliver payouts;
- Loss of subscribers or revenue resulting from platform modifications made in accordance with this Addendum.
(c) Indemnification
You agree to indemnify, defend, and hold harmless Sonaverse Ltd and its officers, directors, and employees from and against any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your sona's content or the Output it generates;
- Your breach of this Addendum or the Terms of Service;
- Any third-party intellectual property, privacy, or other rights claim arising from Content you have uploaded;
- Any claim by a subscriber arising from your role as merchant of record; or
- Your failure to comply with applicable law, including tax obligations.
14. Neural Heirloom Exclusion
This Addendum does not apply to Neural Heirloom clients. Neural Heirloom engagements are governed exclusively by the applicable Neural Heirloom Service Agreement and the Sonaverse Terms of Service. Neural Heirloom clients are not subject to the Creator Marketplace eligibility requirements, go-live process, revenue-sharing arrangements, or other provisions of this Addendum.
15. Modifications to This Addendum
Sonaverse may update this Addendum from time to time. We will give you at least 30 days' written notice of any material change by email and through your dashboard. A change to the Platform Fee percentage requires 60 days' notice as described in Section 10(c).
If you do not accept a material change to this Addendum, you may deactivate your sona before the change takes effect. Continued publication of your sona after the effective date of a change constitutes your acceptance of the updated Addendum.
16. Governing Law and Jurisdiction
This Addendum and any dispute or claim arising from or in connection with it (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising from or in connection with this Addendum.
Nothing in this Addendum affects the rights of consumers to bring claims in the courts of the country in which they are resident.
17. General
(a) This Addendum, together with the Terms of Service and Prohibited Use Policy, constitutes the entire agreement between you and Sonaverse relating to your participation in the Creator Marketplace and supersedes all prior agreements or understandings relating to the same subject matter.
(b) If any provision of this Addendum is found to be unenforceable or unlawful, it will be severed and the remaining provisions will continue in full force.
(c) Sonaverse's failure to enforce any provision of this Addendum will not constitute a waiver of that provision.
(d) You may not assign any of your rights or obligations under this Addendum without our prior written consent. Sonaverse may assign this Addendum in connection with a merger, acquisition, or sale of all or substantially all of its assets.
(e) All notices to Sonaverse under this Addendum should be sent to legal@sonaverse.ai. Notices to you will be sent to the email address associated with your creator account.
