These Terms apply to all users of the Sonaverse platform — including individuals who create a sona, individuals whose identity is represented by a sona, and individuals who access and interact with a sona in any capacity.

Introduction
These Sonaverse Terms of Service ("Terms") govern your access to and use of the services provided by Sonaverse Ltd, a company incorporated in England and Wales under company number 17108925, whose registered office is at 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ ("Sonaverse", "we", "us", or "our").
By accessing or using our Services in any way, completing the account registration process, or browsing our website, you agree to be bound by these Terms. Please read them carefully before proceeding.
These Terms apply to your access to and use of:
- Our website located at www.sonaverse.ai and all associated web pages and applications (the "Website"); and
- All services and products accessible via the Website, our APIs, or otherwise made available by us (together with the Website, the "Services").
We may publish supplemental terms that apply to specific aspects of the Services, including our Creator Marketplace Addendum, Prohibited Use Policy, and Data Processing Addendum. Where supplemental terms conflict with these Terms, the supplemental terms take precedence for that specific conflict.
We may update these Terms from time to time. Where a change materially affects your rights or obligations, we will provide at least 30 days' advance notice by email before that change takes effect. Continued use of the Services after that date constitutes your acceptance of the updated Terms. If you do not accept the updated Terms, you may cancel your subscription at no cost within the notice period.
1. Definitions
The following capitalised terms have the meanings set out below:
"Access Tier" — One of the permission levels assigned by a creator to control who may interact with a sona and at what depth. Current tiers are described in Section 5(g). Additional tiers may be introduced from time to time.
"Content" — Personal Materials and Knowledge Materials, collectively.
"Creator Marketplace" — The platform through which eligible creators may publish sonas and earn revenue from subscriber access, as further described in Section 6.
"Knowledge Materials" — Documents, texts, research papers, books, reports, presentations, audio recordings, and other materials uploaded by a creator or sona subject to augment a sona's knowledge base. Knowledge Materials may include Third-Party IP Materials.
"Output" — Any text, audio, or other content generated by a sona in response to a user interaction, or otherwise produced by the Services using Content as a basis.
"Personal Materials" — Recordings, transcripts, interview responses, writings, photographs, and other first-person content created by or directly concerning the sona subject, provided as Input to the Services.
"Creator" — The person who initiates and manages the creation of a sona. A creator must be the sona subject themselves.
"Sona" — The AI-powered interactive representation of a sona subject, created using the Services by combining Personal Materials, Knowledge Materials, and the sona model associated with that subject.
"Sona Model" — The AI model configured to represent the knowledge, communication style, values, and perspectives of a specific sona subject.
"Sona Subject" — The real, living individual whose identity, knowledge, and personality are represented in a sona. A sona subject must be a living natural person at the time their sona is created; provisions relating to death of the sona subject are set out in Section 5(k).
"Third-Party IP Materials" — Knowledge Materials in which intellectual property rights — including copyright, moral rights, database rights, or publishing rights — are held, in whole or in part, by a party other than the creator or sona subject uploading the material. Examples include published books (where copyright may vest in the author while publishing or distribution rights vest in the publisher), academic papers assigned to a journal or institution, and licensed research reports.
2. Eligibility and Use Restrictions
(a) Age
You must be at least 18 years of age (or the age of legal majority in your jurisdiction, if higher) to create an account or use our Services. By using the Services you represent and warrant that you meet this requirement. If you are under the required age, you may not access or use the Services under any circumstances.
(b) Authorisation
If you register, access, or use our Services on behalf of another person or entity: (i) all references to "you" in these Terms include that person or entity; (ii) you represent that you are authorised to enter into these Terms on that person's or entity's behalf; and (iii) in the event of any violation of these Terms by you, that person or entity also agrees to be responsible to us for that violation.
(c) Use Restrictions
Your access to and use of the Services must comply with these Terms and our Prohibited Use Policy at all times. Without limiting the foregoing:
- (i) Users on the Free Tier may only use the Services for non-commercial purposes unless we expressly state otherwise;
- (ii) Users on paid subscription tiers may use the Services for commercial purposes, subject always to these Terms;
- (iii) A sona may only be created by the individual it represents. Creating a sona and then publishing it requires identity verification as set out in Section 4;
- (iv) You may not use the Services to create a sona that impersonates any person in a misleading, deceptive, or harmful manner; and
- (v) You may not attempt to circumvent or override the Access Tier restrictions assigned to any sona by its creator.
3. Personal Data
You may provide information to us in connection with your access to or use of the Services, and we may collect certain information about you when you do so. For full details of how we collect, use, share, and protect personal data, please review our Privacy Policy.
Where you agree to these Terms on behalf of an entity, our Data Processing Addendum governs Sonaverse's processing of any personal data contained within Content you provide to the Services.
You acknowledge that we may process personal data relating to the operation, support, and use of the Services for our legitimate business purposes, including billing, account management, technical support, product development, and compliance with applicable law.
Given the sensitivity of the Content processed through the Services — which may include first-person narratives, communication patterns, and other personal information — we implement appropriate technical and organisational security measures. Further details are set out in our Privacy Policy.
4. Accounts
An account is required to access the Services. You may not share your account credentials or permit others to use your individual account.
You are responsible for maintaining the security of your account. You must notify us promptly at security@sonaverse.ai if you discover or suspect unauthorised access to your account.
Certain features — including the ability to publish a sona on the Creator Marketplace — require successful identity verification before access is granted. You must complete any verification process required by us to access those features.
If your account is closed or terminated for any reason, you will forfeit all unused credits and subscription entitlements associated with it, to the extent permitted by applicable law.
5. Sonas, Content, and Knowledge Materials
(a) Nature of a Sona
A sona is an AI-powered interactive representation of a real individual (the sona subject), designed to reflect that individual's knowledge, communication style, values, and perspectives on the basis of materials provided to us. A sona is not the sona subject. It is an AI system that generates responses shaped by, but not equivalent to, the sona subject's own statements or views.
All Outputs generated by a sona are machine-generated. They do not constitute the direct statements, verified views, endorsements, advice, or opinions of the sona subject, and must not be presented as such without appropriate disclosure of their AI-generated nature.
(b) Personal Materials
You may provide Personal Materials as Input to the Services to build or enrich a sona. By uploading Personal Materials, you represent and warrant that:
- (i) You are the sona subject whose identity the sona represents;
- (ii) The Personal Materials do not infringe the intellectual property rights, privacy rights, or other rights of any third party; and
- (iii) You have all rights necessary to grant the licence in Section 5(f).
(c) Knowledge Materials: General
You may upload Knowledge Materials to augment a sona's knowledge base. Knowledge Materials are processed as follows: we ingest and store the source document, extracted text, and vector embeddings derived from that text. Our retrieval system identifies contextually relevant passages and surfaces them in response to user interactions.
The following technical limits apply to the surfacing of Knowledge Materials:
Passage length limits: No single retrieved passage from a Knowledge Material will exceed 500 words. The aggregate content surfaced from any single source document within a single interaction session will not exceed 1,000 words. These limits are applied automatically by our retrieval system as a technical safeguard against wholesale reproduction of source materials.
Notwithstanding these technical limits, you remain solely responsible for ensuring that your upload and use of Knowledge Materials complies with applicable law. These limits do not constitute a guarantee that your use of Knowledge Materials is lawful, nor do they constitute a representation that any Output derived from Knowledge Materials falls within any fair use, fair dealing, or equivalent exception.
(d) Third-Party IP Materials: Rights and Responsibilities
You acknowledge that intellectual property rights in a single document may vest in multiple parties simultaneously. By way of example: in the case of a published book, copyright in the text may vest in the author while publishing, distribution, or other contractual rights vest in the publisher; in the case of an academic paper, rights may be shared between multiple authors and assigned or licensed to a journal or institution. By uploading any Knowledge Material, you represent and warrant that you:
- (i) Own all intellectual property rights in that material necessary to grant the licence in Section 5(f); or
- (ii) Have obtained all necessary permissions, licences, and consents from every relevant rights-holder — including, where applicable, authors, co-authors, publishers, and any other party holding rights in that material — sufficient to authorise us to ingest, store, process, and use that material in the manner described in these Terms.
You accept sole responsibility for identifying all relevant rights-holders and obtaining all necessary authorisations before uploading any Third-Party IP Material.
No guarantee of lawfulness. We make no representation or warranty that the ingestion of, or generation of Outputs derived from, Third-Party IP Materials constitutes fair use, fair dealing, or any equivalent exception or limitation under applicable law in any jurisdiction. You are solely responsible for satisfying yourself that your use of any Third-Party IP Material in connection with the Services is lawful.
(e) Permitted and Prohibited Knowledge Materials
Permitted by default
- Works authored personally by the sona subject (original manuscripts, speeches, personal correspondence, articles, research papers, internal reports);
- Business documents, presentations, and reports created by or for the sona subject in a professional capacity, where the sona subject or their employer holds the relevant rights;
- Interview transcripts, recorded conversations, and notes created by or with the sona subject's participation;
- Audio or video recordings of the sona subject in which the sona subject owns or has licensed the relevant rights.
Permitted with required declaration of rights
The following categories may only be uploaded if you make an explicit declaration at the time of upload that you hold or have licensed all necessary rights from all relevant rights-holders:
- Published books, monographs, or edited volumes in which the sona subject holds copyright but which are subject to publishing or distribution agreements with a third party;
- Academic papers published in journals or institutional repositories where rights have been assigned, licensed, or are shared with co-authors or institutions;
- Third-party research reports, market analyses, or licensed data products in which the sona subject holds a licence;
- Correspondence, documents, or materials co-authored with third parties where joint ownership applies.
Prohibited outright
The following categories of material may not be uploaded under any circumstances:
- (i) Protected health information (as defined under HIPAA or equivalent legislation) of any third party, or any clinical, medical, or therapeutic records relating to individuals other than the sona subject;
- (ii) Legally privileged documents, including documents subject to solicitor-client privilege, litigation privilege, or equivalent professional privilege in any jurisdiction;
- (iii) Classified, restricted, or government-designated sensitive information in any form;
- (iv) Personal data of identifiable third parties who have not consented to the inclusion of their data in a sona;
- (v) Materials subject to confidentiality obligations under a court order, injunction, or binding confidentiality agreement;
- (vi) Financial account details, passwords, security credentials, or other authentication material relating to any person or entity;
- (vii) Materials obtained through unauthorised access to computer systems, accounts, or networks;
- (viii) Content that is illegal in England and Wales or in the creator's jurisdiction of residence; and
- (ix) Any material that is prohibited by our Prohibited Use Policy as updated from time to time.
(f) Outputs
Outputs generated by a sona are AI-generated and may be inaccurate, incomplete, or not unique across users. Outputs do not constitute professional advice of any kind and must not be relied upon for medical, legal, financial, or other professional purposes without independent verification.
To the extent that Output contains passages or information derived from Third-Party IP Materials, your use of that Output remains subject to any applicable intellectual property rights and any permissions you have obtained. You may not use Output to circumvent any obligation to licence Third-Party IP Materials.
Responses generated for other users are not your Output; you have no right or title over them.
(g) Access Tiers
A creator assigns Access Tiers to a sona to control who may interact with it and at what depth. The current tiers are:

Access Tier restrictions are enforced at the database level. The creator is responsible for assigning tiers appropriately and for managing access grants at each tier. We do not accept liability for access by unauthorised persons where such access results from the creator's failure to manage their Access Tier settings correctly.
The Invitation-Only tier is available solely to individuals personally invited by the sona subject. Invitation-Only sonas may not be listed or monetised through the Creator Marketplace.
(h) Rights to Your Content
As between you and Sonaverse, you retain all rights you hold in your Personal Materials and Knowledge Materials, subject always to any third-party rights therein. As between you and Sonaverse, you retain all rights you hold in Output generated for your use.
(i) Licence to Your Content
By uploading Personal Materials or Knowledge Materials to the Services, you grant to Sonaverse a non-exclusive, royalty-free, fully paid, worldwide licence to use, reproduce, process, adapt, store, and handle your Content for the following purposes:
- (i) Providing, operating, and maintaining the Services, including building, configuring, and maintaining the sona model associated with your sona;
- (ii) Ensuring the safety, security, and integrity of the Services, including trust and safety operations; and
- (iii) Improving the Services and developing new features, subject to your opt-out rights in Section 5(l).
This licence is sub-licensable solely to third-party service providers (such as cloud infrastructure and AI model providers) to the extent necessary for them to provide services to us, under appropriate confidentiality and data protection obligations.
Persona rights. To the extent that your Content includes your voice, likeness, image, name, or other personal indicia, the foregoing licence permits us to use those elements solely to provide and improve the Services. We will not commercialise your voice, likeness, or other personal indicia on a standalone basis, or make them available to third parties for any purpose outside the Services, without your separate express written consent.
Cross-portrait training. We will not use your Personal Materials or Knowledge Materials to train AI models for purposes beyond the specific sona associated with your Content, without your separate express consent.
This licence is perpetual and irrevocable with respect to Content already incorporated into a trained or configured sona model to the extent that retrospective removal is technically impracticable. You may request deletion of your sona and associated stored Content in accordance with Section 5(m).
(j) Death of the Sona Subject
A sona may only be created of a living individual. In the event that a sona subject dies:
- (i) The creator, a family member of the sona subject, or any other person who becomes aware of the sona subject's death must notify us immediately at support@sonaverse.ai;
- (ii) On receiving notice of death, we will immediately suspend the relevant sona and cease making it available for interaction;
- (iii) The sona will remain suspended until we have reviewed whether the sona subject made prior documented provisions authorising the continuation or posthumous availability of their sona. Such provisions must have been recorded with us in writing before the sona subject's death;
- (iv) If no such prior documented provisions exist, the sona will be permanently deactivated and the associated Content deleted in accordance with our data retention policy; and
- (v) Where prior provisions exist and we are satisfied that they are valid and authoritative, we may reinstate the sona in accordance with those provisions, subject to our Prohibited Use Policy and any applicable legal requirements.
If you wish to make provisions for your sona to remain available after your death, please contact us at support@sonaverse.ai to record your wishes in writing while you are alive. No posthumous provisions can be accepted after death.
(k) Training Opt-Out
You may opt out of our use of your Content for the purpose of improving our Services beyond the specific sona associated with your Content at any time by navigating to the Data Use settings in your account or by contacting us at privacy@sonaverse.ai. Once your opt-out request has been processed, your Content will no longer be used for that purpose, except as necessary to continue providing the Services to you. This does not affect any uses made prior to the date of the opt-out request.
(l) Deletion and Data Retention
You may request deletion of your sona and associated stored Content at any time through your account settings or by contacting us at privacy@sonaverse.ai. We will process deletion requests in accordance with our Privacy Policy and applicable data protection law.
We retain source documents, extracted text, and vector embeddings for as long as the associated sona remains active. On deletion of a sona, we will delete source documents and extracted text promptly and will purge vector embeddings from our operational systems within 30 days. Where Content has been incorporated into a trained sona model, technical limitations may mean that removal from all components of the model is not immediately practicable; in such cases, we will deactivate the sona and take all reasonable steps to remove accessible copies as promptly as technically feasible.
Deletion of Knowledge Materials from a sona may affect the quality, accuracy, or completeness of that sona's responses.
(m) Prohibited Content
You may not upload as Personal Materials or Knowledge Materials, or use the Services to generate Output, that:
- (i) Infringes the intellectual property rights, privacy rights, or other rights of any third party;
- (ii) Contains the personal data of identifiable third parties who have not consented to its inclusion;
- (iii) Is defamatory, harassing, threatening, or likely to incite violence or discrimination against any person or group;
- (iv) Is sexually explicit or pornographic;
- (v) Facilitates or constitutes fraud, deception, or impersonation in a manner designed to harm or mislead any person;
- (vi) Falls within a prohibited document category under Section 5(e) or our Prohibited Use Policy.
(n) Moderation
We do not undertake to review all Content and disclaim any duty to monitor Content proactively. However, we may at any time:
- (i) Remove or disable access to Content where we have reasonable grounds to believe it violates applicable law or these Terms;
- (ii) Suspend or terminate your access to the Services if Content you have uploaded is likely to violate applicable law or these Terms; and
- (iii) Cooperate fully with law enforcement authorities or court orders requiring disclosure of information about users who have uploaded unlawful Content.
6. Creator Marketplace and Revenue Sharing
(a) Overview
The Creator Marketplace is the Sonaverse platform through which eligible creators may publish sonas and earn revenue from subscriber access. The Creator Marketplace is governed by these Terms together with the Creator Marketplace Addendum, which sets out additional terms relating to eligibility, payments, and obligations.
(b) Per-Sona Subscriptions
Subscribers on the Creator Marketplace pay creators directly, not a platform-level fee. Each sona may be set as free to access or may carry a monthly subscription price set by the creator (subject to any minimum price we specify from time to time). Subscriptions are managed through Stripe Connect; creators are the merchant of record and subscribers pay creators directly. You agree to be bound by Stripe's terms of service in connection with any payment transaction.
Paying subscribers gain access to a sona at the Acquaintance tier. The creator may choose to grant additional access to individual subscribers; any such grants are made at the creator's sole discretion and responsibility.
(c) Revenue Sharing
Sonaverse retains 30% of Net Subscription Revenue collected from paid subscriptions to a Creator Marketplace sona. The creator receives 70% of Net Subscription Revenue (after Stripe's processing fees). Revenue due to creators is paid monthly, subject to a minimum payout threshold of £10 (GBP) or $10 (USD). Payments are made via Stripe Connect in either GBP or USD according to the currency selected by the creator.
If your earned revenue in any month does not meet the minimum payout threshold, the amount will roll over and be paid in the next month in which the cumulative amount meets or exceeds the threshold.
(d) Eligibility to Publish
To publish a sona on the Creator Marketplace, you must:
- (i) Complete our identity verification process to our satisfaction;
- (ii) Meet the Minimum Content Standards set out in the Creator Marketplace Addendum; and
- (iii) Have a valid Stripe Connect account capable of receiving payments in your chosen currency.
(e) Creator Responsibilities
As a Creator Marketplace participant, you are responsible for ensuring that your sona and all Content within it comply with all applicable law, including advertising standards, consumer protection requirements, and data protection law. You must ensure that all Third-Party IP Materials incorporated in a paid sona are properly licensed for commercial use.
(f) Sonaverse's Rights
We reserve the right to remove any sona from the Creator Marketplace at any time if we determine, in our reasonable discretion, that it violates these Terms, our Prohibited Use Policy, or applicable law. Removal from the Creator Marketplace does not entitle you to any refund of subscription fees already received from subscribers.
7. Our Intellectual Property
(a) Ownership. The Services, including the Sonaverse platform, our AI infrastructure, sona model architecture, software, interfaces, and all associated intellectual property, are owned by Sonaverse or our licensors. Nothing in these Terms grants you any rights in or to the Services other than the limited licence described below.
(b) Limited Licence. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services solely as permitted by these Terms.
(c) Sona Models. The underlying model infrastructure, weights, and configurations of any sona model remain our intellectual property. You do not acquire any ownership interest in the sona model by virtue of providing Content.
(d) Trademarks. The name "Sonaverse", the Sonaverse logo, and any associated product or service names may not be copied, imitated, or used, in whole or in part, without our prior written permission.
(e) Feedback. You may provide feedback, suggestions, or ideas relating to the Services. You grant us a perpetual, irrevocable, worldwide, royalty-free licence to use any such feedback for any purpose, including to improve and develop the Services, without acknowledgement or compensation to you.
8. Subscription Services and Payment
(a) Subscription Tiers
Access to the Services is available on the following basis:

| Invitation-Only | Available solely to individuals personally invited by the sona subject. Not purchasable; granted directly by the sona subject. |
(b) Subscriptions
Paid subscriptions to individual sonas are managed through Stripe Checkout. By subscribing, you authorise Stripe, as payment processor, to charge your stored payment method for the applicable monthly fee at each renewal. Your subscription will automatically renew each month until you cancel.
(c) Cancellation
You may cancel a paid subscription at any time through the Stripe Customer Portal, accessible via your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access to the relevant sona through the end of that period.
(d) Price Changes
A creator may change the price of their sona at any time. We will notify you of any price change affecting your active subscription before it takes effect. If you do not cancel before the new price applies, you will be deemed to have accepted the change.
(e) Payment
You represent and warrant that you have the right to use any payment method you submit in connection with a purchase. You will pay all charges incurred through your account, including applicable taxes. Stripe is the source of truth for all payment records.
(f) Refunds
Except where required by applicable law (including your consumer withdrawal rights under Section 9), subscription fees are non-refundable.
9. Right of Withdrawal (EEA, Switzerland, and UK Consumers)
If you are a consumer resident in the European Economic Area, Switzerland, or the United Kingdom and you purchase a paid subscription to a sona directly through our Services, you have the legal right to withdraw from that subscription agreement within 14 days of purchase, without giving any reason.
To exercise this right, you must inform us of your decision by an unequivocal statement before the 14-day period expires. You may do so by email to legal@sonaverse.ai or by post to Sonaverse Ltd, 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom. You may use the model withdrawal form in Appendix 1, but this is not mandatory.
When you subscribe, you expressly acknowledge and agree to the immediate commencement of the Services. If you exercise your withdrawal right, you may owe us an amount proportionate to the Services provided up to the date of your withdrawal relative to the full subscription period.
We will process any reimbursement due within 14 days of receiving your withdrawal notice, using the same payment method you used for the original transaction, unless you expressly agree otherwise. No fees will be charged to you as a result of the reimbursement.
10. Copyright and Intellectual Property Complaints
(a) Reporting Infringement
We take intellectual property rights seriously. If you believe that Content on our Services infringes your copyright or other intellectual property rights, please send a notice to ip@sonaverse.ai or by post to: Sonaverse Ltd (Attn: IP Complaints), 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.
Your notice must include all of the following:
- (i) A description of the copyrighted work or other intellectual property you claim has been infringed;
- (ii) A description of the specific Content on our Services that you claim is infringing, with sufficient detail for us to locate it;
- (iii) Your contact information (name, address, telephone number, and email address);
- (iv) A statement that you have a good-faith belief that use of the material in the manner complained of is not authorised by the rights-holder, its agent, or applicable law;
- (v) A statement that the information in your notice is accurate and that you are authorised to act on behalf of the rights-holder; and
- (vi) Your physical or electronic signature.
(b) Takedown Process
On receipt of a valid notice, we will investigate and, where appropriate, remove or disable access to the allegedly infringing Content promptly. Removal of Knowledge Materials may affect the quality of the associated sona. We will notify the affected user where required by applicable law.
(c) Counter-Notice
If your Content has been removed in response to a notice and you believe the removal was in error, you may submit a counter-notice to ip@sonaverse.ai. We will process counter-notices in accordance with applicable law.
(d) Repeat Infringers
We will suspend or terminate the accounts of users who are found to be repeat infringers of intellectual property rights, in accordance with our Prohibited Use Policy.
11. Third-Party Services
Our Services rely on or interoperate with third-party products and services, including cloud infrastructure providers, AI model providers (including Anthropic's Claude API), communications services, identity verification providers, and Stripe as our payments processor (collectively, "Third-Party Services"). These Third-Party Services are beyond our control, but their operation may affect the availability or reliability of our Services.
Your use of Third-Party Services (including Stripe Checkout and the Stripe Customer Portal) may be subject to the additional terms, conditions, and privacy policies of the relevant third-party providers. We have no obligation to monitor Third-Party Services and may block or disable access to any Third-Party Service at any time.
12. Indemnification
If you are a business or organisation, to the fullest extent permitted by applicable law, you will indemnify, defend (at our option), and hold harmless Sonaverse Ltd and its officers, directors, employees, and agents from and against any losses, liabilities, claims, demands, damages, and expenses (including reasonable legal fees) arising from or relating to:
- (a) Your access to or use of the Services;
- (b) Content or feedback you have provided;
- (c) Your violation of these Terms or our Prohibited Use Policy;
- (d) Your violation, misappropriation, or infringement of any rights of another person or entity, including intellectual property rights or privacy rights;
- (e) Your failure to obtain all necessary rights, permissions, and consents in respect of Third-Party IP Materials you have uploaded; or
- (f) Your conduct in connection with a sona you have created.
13. Disclaimers
(a) As Is (Business users). To the fullest extent permitted by applicable law, the Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties with respect to the Services, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
(b) Nature of AI Output. Outputs generated by sonas are AI-generated and may be inaccurate, incomplete, outdated, or otherwise unreliable. Outputs do not constitute the verified statements, professional advice, or endorsements of the sona subject. You must not rely on Outputs for medical, legal, financial, or other professional purposes without independent verification.
(c) Third-Party IP. We make no representation or warranty that your upload of, or the generation of Outputs derived from, Third-Party IP Materials is lawful in your jurisdiction or compliant with applicable copyright law, fair dealing, or any other exception or limitation. You are solely responsible for the lawfulness of your use of Third-Party IP Materials.
(d) Consumer rights. Nothing in these Terms excludes or limits any rights you may have as a consumer under applicable law that cannot lawfully be excluded or limited by agreement.
14. Limitation of Liability
(a) Business users. To the fullest extent permitted by applicable law, Sonaverse Ltd will not be liable to you under any theory of liability for any indirect, consequential, incidental, punitive, or special damages or lost profits, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to these Terms or the Services is limited to the greater of: (i) £100; and (ii) the total amount paid by you to us in the 12 months immediately preceding the claim.
(b) Consumer users. Our liability to you as a consumer is not excluded or limited in respect of: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot lawfully be excluded or limited under applicable law. Subject to the foregoing, our liability for any loss you suffer caused by our breach of these Terms is limited to losses that are foreseeable, not caused by events outside our reasonable control, and could not be avoided by you taking reasonable action.
(c) Nothing in this Section 14 limits your obligations under Section 12 (Indemnification).
15. Governing Law
(a) Business users. These Terms and any dispute or claim arising from or in connection with them (including non-contractual disputes or claims) will be governed by and construed in accordance with the law of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any dispute.
(b) Consumer users. If you are a consumer, you may bring claims in the courts of the country in which you reside, and the laws of that country will apply to any claim you bring against us. This does not affect your right to bring claims in the courts of England and Wales.
16. Modifying and Terminating the Services
We may change the Services at any time to reflect changes in applicable law, to make technical improvements, or to update features. If a change would materially adversely affect your use of the Services, we will give you at least 30 days' advance notice and you may cancel your subscription before the change takes effect and receive a refund for any pre-paid amounts relating to the post-cancellation period.
We may suspend or terminate your access to the Services, temporarily or permanently, if you breach these Terms or our Prohibited Use Policy, without prejudice to any other rights or remedies available to us.
17. Export Control
You are responsible for complying with all applicable export control laws and trade sanctions regulations in any jurisdiction relevant to your use of the Services. You represent and warrant that you are not located in, and will not use the Services in, any jurisdiction subject to applicable sanctions or trade embargoes imposed by the United Kingdom, the European Union, or the United States.
18. Miscellaneous
(a) Entire agreement. These Terms, together with any applicable supplemental terms, constitute the entire agreement between you and Sonaverse Ltd relating to the Services and supersede all prior agreements, representations, and understandings.
(b) Severability. If any provision of these Terms is found to be unenforceable or unlawful for any reason, that provision will be severed and the remaining provisions will continue in full force and effect.
(c) Waiver. Our failure to enforce any right or provision of these Terms on any occasion will not constitute a waiver of that right or provision.
(d) Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without your consent in connection with a merger, acquisition, or sale of all or substantially all of our assets.
